Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding contract between you ("you", "your", "User") and Founder First Ventures LTD, a Wyoming, USA limited liability company ("Company", "we", "us", "our"), and govern your access to and use of the Code & Tell website, applications, APIs, newsletters, and related services (collectively, the "Service"). By creating an account, submitting a product, subscribing to the newsletter, or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 16 years old and capable of entering into a binding contract under the law of your jurisdiction to use the Service. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and that entity accepts these Terms.
3. Accounts
You must provide accurate, current, and complete information when you create an account and keep it up to date. You're responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at legal@codeandtell.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, applicable law, or our community standards.
4. The Service
The Service is a directory of software-as-a-service products. Listings are submitted by founders and reviewed by us before publication. We may, in our sole discretion, accept, edit, decline, or remove any submission, version edit, listing, or other content for any reason, including failure to meet our submission guidelines. The Service is provided as a discovery and informational tool. We don't endorse, certify, warrant, or guarantee any listed product.
5. User content
"User Content" means any content you submit to the Service, including product descriptions, origin stories, problem statements, ICP, screenshots, logos, demo links, comments, and communications. You retain ownership of your User Content. You grant the Company a worldwide, royalty-free, sublicensable, transferable, non-exclusive license to host, store, reproduce, modify, create derivative works of (such as for thumbnails, previews, and translations), publicly display, publicly perform, and distribute your User Content in connection with operating, providing, promoting, and improving the Service and the Portfolio Products. You also grant other Users the right to view, share, and link to publicly displayed User Content as enabled by the Service.
You represent and warrant that: (a) you own or have all necessary rights to your User Content and to grant the licenses above; (b) your User Content doesn't infringe or violate any third-party rights, including intellectual property, privacy, publicity, or contractual rights; (c) your User Content is accurate and not misleading; and (d) your User Content complies with applicable law and these Terms.
6. Acceptable use
You agree not to:
- Submit content that's fraudulent, deceptive, infringing, defamatory, obscene, harassing, or otherwise unlawful.
- Submit listings for products you have no authority to represent, or misrepresent your relationship with a product.
- Use the Service to spam, scrape at scale, harvest contact information, or build a competing dataset.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent permitted by law.
- Bypass security or rate-limiting measures, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service.
- Use automated systems to interact with the Service in a manner that sends more requests than a human can reasonably produce in the same period.
- Use the Service to violate any applicable export control, sanctions, or similar law.
7. Featured listings
Featured listings on the Service are selected editorially based on listing quality, freshness, and fit. Editorial review decisions, including whether to approve or reject a submission, aren't for sale. If we introduce paid placements in the future, they will be clearly labelled and disclosed in these Terms before they go live.
8. Affiliate and referral links
Founders may include affiliate or referral links in their listings. We may also use affiliate or referral relationships independently. Where we do, we'll use commercially reasonable efforts to disclose them. Affiliate relationships don't influence editorial review.
9. Third-party products and links
The Service contains information about and links to third-party products and websites. We don't control those third parties and aren't responsible for their content, practices, terms, or privacy policies. Your use of any third-party product is at your own risk and subject to that third party's terms.
10. Intellectual property
Except for User Content, the Service and all of its content, features, and functionality, including software, design, text, graphics, and logos, are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.
11. Feedback
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback for any purpose, without obligation to you.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the rights granted to you'll end, but Sections 5 (license to retained User Content), 10, 11, and 13 through 19 will survive.
13. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT LISTED PRODUCTS WILL MEET YOUR REQUIREMENTS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) AND (B) THE AMOUNTS YOU HAVE PAID TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnification
You'll defend, indemnify, and hold harmless the Company and its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights, including intellectual property or privacy rights.
16. DMCA and copyright complaints
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to legal@codeandtell.com with the information required by 17 U.S.C. § 512(c)(3). We'll respond consistent with the Digital Millennium Copyright Act and may remove or disable access to allegedly infringing content and terminate accounts of repeat infringers.
17. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Subject to Section 18, you and the Company agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you and the Company consent to personal jurisdiction in those courts and waive any objection based on venue or forum non conveniens.
18. Arbitration and class waiver
Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute arising out of or relating to these Terms or the Service will be finally resolved by binding arbitration on an individual basis under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in Wyoming, USA, in English. You and the Company each waive any right to participate in a class action or class-wide arbitration. If this class waiver is found unenforceable, then the entirety of this arbitration provision will be null and void as to the affected dispute.
19. Changes
We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date and, where appropriate, notify you by email or in-product notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
20. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision isn't a waiver. You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any other policies referenced here, are the entire agreement between you and the Company regarding the Service.
